ReadyClose ("ReadyClose," "we," "us," or "our") provides a real estate transaction compliance and management platform (the "Platform" or "Service"). This Privacy Policy describes how we collect, use, disclose, and protect information in connection with our Platform, including data obtained through integrations with third-party real estate transaction management and technology services.

1. Scope

This Privacy Policy applies to all users of the ReadyClose Platform, including real estate agents, brokers, transaction coordinators, and other professionals ("Users"), as well as to the personal data of their clients, counterparties, and other individuals whose information may appear in real estate transaction records ("End Clients"). By using our Service or authorizing an integration with ReadyClose, you agree to the practices described in this Policy.

2. Information We Collect
2.1 Information You Provide Directly

When you register for or use ReadyClose, we may collect:

  • Account registration details such as your name, email address, phone number, brokerage affiliation, and real estate license information.

  • Profile and preferences you configure within the Platform.

  • Transaction data you manually enter, including property addresses, contract terms, and closing timelines.

  • Communications you send to us, such as support requests or feedback.

2.2 Information from Third-Party Integrations

When you connect your account to third-party services (such as real estate transaction management platforms, CRMs, or other industry tools), we may receive the following types of data, subject to the permissions you grant through those services' OAuth or similar authorization flows:

  • Transaction data: Transaction status, property information, contract dates, milestone and deadline details, and other transaction metadata.

  • Participant and contact data: Names, email addresses, phone numbers, roles, and other identifying information for parties to a transaction (buyers, sellers, agents, lenders, title officers, etc.).

  • Document data: Transaction documents, disclosures, contracts, and associated metadata such as document names, upload dates, and e-signature status.

  • Profile data: Your user profile and account information as made available through the integration.

We only access data that is necessary to provide the services you have requested and in accordance with the permissions granted by the authorizing party.

2.3 Information Collected Automatically

  • Device and browser information (type, operating system, browser version).

  • IP address and approximate geographic location.

  • Usage data such as pages visited, features used, timestamps, and referring URLs.

  • Cookies and similar tracking technologies as described in Section 8 below.

  • Providing and improving the Service: To operate the Platform, facilitate real estate transaction compliance workflows, synchronize data with connected integrations, and improve our features and functionality.

  • Transaction compliance: To help Users track compliance milestones, deadlines, document completion, and regulatory requirements associated with real estate transactions.

  • Communication: To send you service-related notices, respond to your inquiries, and provide customer support.

  • Security and fraud prevention: To detect, investigate, and prevent unauthorized access, fraud, and other harmful activity.

  • Legal compliance: To comply with applicable laws, regulations, legal processes, or governmental requests.

  • Analytics: To understand how Users interact with the Platform and to develop new features and services.

We do not sell, rent, or trade your personal information or End Client data to third parties for their marketing purposes.

4. How We Share Your Information

We may share information in the following circumstances:

  • With your authorization: When you connect a third-party integration, data flows between ReadyClose and that service as directed by you and in accordance with the permissions you grant.

  • Service providers: We engage trusted third-party vendors who perform services on our behalf (hosting, analytics, customer support). These providers are contractually obligated to use your data only as necessary to perform services for us and to maintain appropriate confidentiality and security measures.

  • Transaction participants: Information may be shared among parties to a transaction to the extent necessary for completion and compliance of that transaction, consistent with your instructions and industry practice.

  • Legal requirements: We may disclose information if required by law, regulation, legal process, or governmental request, or if we believe disclosure is necessary to protect our rights, your safety, or the safety of others.

  • Business transfers: In the event of a merger, acquisition, reorganization, or sale of assets, your information may be transferred as part of that transaction. We will notify you of any such change in ownership or control of your personal information.

5. Data Retention

We retain personal information for as long as necessary to provide our Service, fulfill the purposes described in this Policy, comply with legal obligations, resolve disputes, and enforce our agreements. Transaction data may be retained for periods consistent with applicable real estate record-keeping requirements and industry standards. When information is no longer needed, we will securely delete or anonymize it.

We implement commercially reasonable administrative, technical, and physical safeguards designed to protect your information against unauthorized access, alteration, disclosure, or destruction. These measures include:

  • Encryption of data in transit (TLS/SSL) and at rest.

  • Access controls and authentication requirements for personnel and systems.

  • Regular security assessments and monitoring.

  • Secure credential management for third-party API integrations using industry-standard OAuth 2.0 protocols.

While we strive to protect your information, no method of electronic transmission or storage is completely secure. We cannot guarantee absolute security.

7. Your Rights and Choices

Depending on your jurisdiction, you may have certain rights regarding your personal information, including:

  • Access: You may request a copy of the personal information we hold about you.

  • Correction: You may request that we correct inaccurate or incomplete information.

  • Deletion: You may request that we delete your personal information, subject to certain exceptions (e.g., legal record-keeping obligations).

  • Opt-out: You may opt out of non-essential communications at any time.

  • Revoke integration access: You may disconnect any third-party integration at any time through your account settings. Upon disconnection, we will cease receiving new data from that integration. Previously synced data may be retained in accordance with our data retention practices described in Section 5.

To exercise any of these rights, please contact us using the information in Section 11 below. We will respond to your request within a reasonable timeframe consistent with applicable law.

8. Cookies and Tracking Technologies

We use cookies and similar technologies (pixels, local storage) to operate the Platform, remember your preferences, understand usage patterns, and improve our Service. You may manage cookie preferences through your browser settings. Disabling certain cookies may affect Platform functionality.

9. Third-Party Services

Our Platform integrates with third-party services, including real estate transaction management platforms, CRMs, document management systems, and other industry tools. These services have their own privacy policies and terms of use, which we encourage you to review. We are not responsible for the privacy practices of third-party services. Our collection and use of data received through these integrations is governed by this Privacy Policy and by the terms of our agreements with those providers.

10. Changes to This Policy

We may update this Privacy Policy from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through the Platform. Your continued use of the Service after any changes constitutes acceptance of the revised Policy.
